CA to buy Sterling for $4B

Stock deal is largest ever in software history, companies say

Computer Associates International Inc. said this morning that it plans to acquire e-commerce software vendor Sterling Software Inc. in a $4 billion stock deal.

The acquisition, which CA called the largest in the history of the software industry, has been OK'd by both companies' boards of directors but still needs regulatory approval.

CA said it plans to incorporate its own technologies into Sterling products, such as combining Sterling's COOL electronic business suite with its own Jasmine infrastructure.

The companies will be holding a press conference later this morning to discuss the deal in more detail.
